Vendor Terms
Last updated: 2 November 2026
These Vendor Terms apply to every business ("Vendor", "you") that registers a workspace on VPDM to message its own customers. They add to our Terms & Conditions; if the two conflict, these Vendor Terms apply to your use as a Vendor.
1. Your WhatsApp Business Account
- You connect your own WhatsApp Business Account and phone number through Meta. You are the business sender of every message sent from your workspace.
- You must keep your Meta Business verification, display name and payment method in good standing. Meta may limit, flag or disable your number based on quality or policy; we cannot override Meta's decisions.
- Message template approval is decided by Meta. We submit templates on your behalf but do not guarantee approval.
2. Messaging rules
- Only message customers who have given you opt-in consent to receive WhatsApp messages from your business, and keep a record of that consent.
- Stop messaging anyone who asks you to, promptly.
- Follow the WhatsApp Business Policy, WhatsApp Commerce Policy and all laws that apply to your marketing, including telecom, consumer-protection and data-protection laws.
- Do not sell or promote prohibited goods or services, or send misleading, abusive or unlawful content.
3. Your customers' data
You are the controller of the contacts, conversations, form responses and other customer data in your workspace. VPDM processes that data only to provide the Service to you, under your instructions, and as described in our Privacy Policy. You are responsible for having a lawful basis to collect and use it, for giving your customers any notice the law requires, and for answering their requests about their data. We will help you respond to such requests where we reasonably can.
4. Team members and access
You are responsible for the team members and agents you add to your workspace, the permissions you give them, and everything they do in it. Remove access promptly when someone leaves your business.
5. Plans, usage and Meta fees
Your plan sets the limits of your workspace (such as contacts, campaigns, bot flows and team members). Subscription fees are paid to VPDM; conversation and message fees are charged by Meta to your WhatsApp Business Account. Cancellations and refunds follow our Cancellation & Refund Policy.
6. Suspension
We may suspend a workspace, pause campaigns or disable sending, with notice where practical, if we reasonably believe it is breaking these terms, Meta's policies or the law, or is putting the platform or other Vendors at risk.
7. Ending your workspace
You may close your workspace at any time. Before closing, export any data you need. After closure we delete or anonymise workspace data within a reasonable period, except where we must keep records by law.
8. Responsibility for your messages
You are responsible for the content you send and for any claims arising from messages sent from your workspace, and you agree to cover VPDM's losses arising from your breach of these Vendor Terms or Meta's policies.
